А реальным основанием для выплаты становится Соглашение между Генпрокуратурой и Росатомом. Суд, по сути, берет это частное (хоть и с госучастием) соглашение, которое должно было работать после победы прокуратуры, и превращает его в публично-правовую обязанность, имплицированную в судебный акт об истребовании. Кассация отменила постановление апелляции и оставила в силе решение первой инстанции. На Росимущество возложена обязанность произвести выплаты добросовестным приобретателям. Поздравляю нас всех с изобретением нового правового инструмента — компенсация добросовестному приобретателю по иску об истребовании имущества из чужого незаконного владения. 😇

Решение суда — это самостоятельное основание возникновения прав. Значит, когда по судебному акту к новому лицу переходит пакет акций, это и есть приобретение в смысле ст. 84.2 Закона об АО. На этой неделе была новость про ЮГК: новый акционер (Росимущество) должен был направить оферту о выкупе до 18 августа, но до сих пор не сделал этого. По мнению Росимущества, оснований для применения обязательного выкупа в их случае нет (полагаю из-за того, что пакет перешел Росимуществу в результате удовлетворения иска об обращении взыскания по п. 8 ст. 235 ГК РФ).
