یک نظر این است که اگر مدیر عامل عضو هیات مدیره باشد می تواند به استناد آن بند اساسنامه به دیگری وکالت بدهد چون تصریح شده است مگر این که عضو هیات مدیره نباشد نظر دیگر این است که اگر در اساسنامه اعطای وکالت به غیر منع نشده باشد مدیر عامل و سایر اعضای هیات مدیره حق اعطای وکالت به غیر دارند. به هرحال شخصیت و توانایی های مدیر عامل اهمیت زیادی در تعیین او دارد ولذا رعایت احتیاط شرط عقل است ولو آن که مسئولیت انتظامی نداشته …
سلام . وقت بخیر مدیر عامل شرکت که صاحب امضا و عضو هیئت مدیره هست در کنسولگری وکالت دادن تا شخص دیگری به جای ایشان سند تفاهم نامه رو امضا کنند . اساسنامه رو مطالعه کردم نوشته بود که اعضای هیئت مدیره میتونن در خصوص اختیاراتشون وکالت بدن آیا مدیر عامل وکالتشون صحیح هست ؟ راهنمایی بفرمایید ممنون میشم
سلام شب به خیر اساسا تنظیم چنین اقرارنامه ای برخلاف ماده ۳۰ قانون دفاتر اسناد رسمی است زیرا نظم عمومی و قوانین آمره راجع به نظم عمومی راجع به نحوه انجام بیع، که مبنی بر تشریفاتی بودن عقد بیع می باشد و همچنین مملک نبودن اقرار مانع از تنظیم چنین سندی می باشد. ولذا تنظیم چنین سندی برابر قانون و نظم عمومی صحیح نیست و تخلف انتظامی محسوب می شود زیرا نتیجه تنظیم این اقرارنامه دور زدن قانون آمره می باشد. به علاوه تنظیم اقر…
